Description of Ownership

The corporation is an Ohio limited liability company, chartered in the State of Ohio on April 27, 2005, servicing its Medical Staff and their patients since November 16, 2006.  The corporation is owned by 9 physician investors (Class I members) and one corporate entity, Kettcor (Class II member). All Class I investors are physicians who are Active members of the Center’s Medical Staff with admitting privileges.

A total of 89.34 units have been issued, as 7-1-21. Eight Class I investors own 37 Membership units(5 investors with 5 units each, 4 investors with 3 units each and the Class II member who owns 52.34 units. The total of 37 Class I units comprise 41.4% Ownership Interest of the corporation and the Class II member’s 52.34 units equal an Ownership Interest of 58.6%  

The corporation is governed by a five person Board of Managers comprised of 3 physicians who are Class I investors and 2 representatives of the Class II investor:

• President – Kevin Paley, M.D.
• Vice President – Ryan Bauman, M.D.
• Treasurer/Secretary – Matthew Hodges, D.O.
• Manager – Wendi Barber, KMC (Kettcor, Inc.)
• Manager – Erica Schnieder, KHN (Kettcor, Inc.)

The Board of Managers has delegated operational responsibility to Todd Evans, Executive Director.
